Thank you for using the Contentful AI Functionality (as defined below). Before reading these Contentful AI Terms of Service (these “Terms”), we strongly encourage you to read the FAQ related to the AI-powered functionality in the Subscription Services and located at Contentful AI functionality. The FAQ is for informational purposes only and will not be incorporated into or become part of the Terms between you and Contentful.
To be eligible to enable and use the Contentful AI Functionality, you must indicate that you have read and understood the Terms and that you are authorized to accept them on behalf of your organization, by selecting the checkbox and clicking “Confirm” on the “Accept AI Terms of Service to enable Contentful AI functionality” pop-up, or via any other mechanism that Contentful provides from time to time which shall then be deemed executed by you and Contentful. If a URL link to these Terms is set out directly in your underlying agreement with Contentful for Subscription Services, the version of these Terms applicable to you will be as set forth in that underlying agreement. Please review these Terms carefully. By accepting these Terms and using the Contentful AI Functionality, you agree to be legally bound by these Terms with Contentful and represent to Contentful that you have the authority to enter into these Terms. If you do not agree to be bound by these Terms, you should not click the “Confirm” button and you should not enable and use the Contentful AI Functionality.
In these Terms, “you,” “your” and “Customer” will refer to you as the end user of the Contentful AI Functionality or an entity or other organization that is the end user of the Contentful AI Functionality which you have authority to bind to these Terms.
“Contentful” in these Terms refers to the applicable Contentful entity that is the party to your underlying agreement for the Subscription Services.
Except as expressly provided in these Terms, all of the terms and provisions of your underlying agreement for the Subscription Services shall remain unmodified by these Terms and will remain in full force and effect. In the event of any inconsistency between these Terms and your underlying agreement, these Terms shall prevail.
IMPORTANT NOTE:
UNLESS OTHERWISE EXPLICITLY STATED HEREIN, YOUR USE OF THE SUBSCRIPTION SERVICES IS GOVERNED BY THE TERMS OF SERVICE OR SUCH OTHER UNDERLYING AGREEMENT THAT YOU HAVE IN EFFECT WITH CONTENTFUL FOR THE USE OF THE SUBSCRIPTION SERVICES INCLUDING ANY DATA PROCESSING ADDENDUM (OR SUBSTANTIALLY SIMILAR AGREEMENT) THAT YOU HAVE IN EFFECT WITH CONTENTFUL FOR THE USE OF THE SUBSCRIPTION SERVICES. BY ACCEPTING THESE TERMS AND USING THE CONTENTFUL AI FUNCTIONALITY, YOU CONSENT TO THE SUB-PROCESSORS LISTED ON OUR SUB-PROCESSOR SITE.
1. Certain Definitions. Any capitalized terms not defined in these Terms will have the meanings attributed to them in your underlying agreement for the Subscription Services. The following definitions, when used herein, will have the meanings ascribed for the purpose of these Terms:
“Contentful AI Functionality” means a feature made available by Contentful that uses an artificial intelligence (“AI”) system as part of the Subscription Services (including any prompts, instructions, templates, or other parameters implemented or provided by Contentful to enable or operate such feature) and includes Contentful-Integrated AI Functionality, Customer-Integrated AI Functionality, and/or Contentful-Native AI Functionality.
“Contentful-Integrated AI Functionality” means Contentful AI Functionality that depends on an API integration between Contentful and a third-party provider of AI services (in which case, that provider will be treated as a Contentful Sub-processor as defined in the Contentful DPA for customers).
“Customer-Integrated AI Functionality” means Contentful AI Functionality that depends on an API integration directly between you and a third-party provider of AI services that has been enabled within the Subscription Services (in which case, that provider is not a Contentful Sub-processor, and you remain solely responsible for your integration and use of such services).
“Contentful-Native AI Functionality” means Contentful AI Functionality that depends on an AI system developed or operated directly by Contentful, without integration of third-party AI services.
“Subscription Services” means the cloud-based digital experience platform as a service offering, including related programs, and functions provided by Contentful to Customer (including, as applicable, Contentful APIs) purchased by you, and any subsequent generally available updates or upgrades of the foregoing.
“Customer AI Content” means (a) any input you provide to be processed through the Contentful AI Functionality and (b) any output generated and returned by the Contentful AI Functionality based on your input. Customer AI Content is a subset of Customer Content as defined in your underlying agreement for the Subscription Services. If your underlying agreement does not define Customer Content, for the purposes of these Terms, Customer Content shall mean any data or content submitted to and managed by Customer in the Subscription Services.
2. Changes
2.1 These Terms. Notwithstanding anything to the contrary in this Section 2.1, if these Terms are linked directly in your underlying agreement with Contentful for Subscription Services, the version applicable to you will be as set forth in that underlying agreement. Contentful may revise these Terms from time to time if technical, economic, or legal conditions change. Unless otherwise stated by Contentful, revised Terms will become effective as of the effective date indicated at the top of the page and will supersede all prior versions. Contentful encourages you to check the effective date of these Terms whenever you visit Contentful’s website or account portal. Contentful will provide you four (4) weeks’ notice of any material revisions by posting notice within the Contentful Subscription Services web portal, on its website, and/or via email to the administrative email address associated with your account. Notice provided through such means shall be deemed sufficient. Your continued access or use of the Contentful AI Functionality constitutes your acceptance of any revisions. If you object to any revised Terms, you can disable the Contentful AI Functionality.
3. Use of the Contentful AI Functionality
3.1 Provision of Contentful AI Functionality. Subject to the terms and conditions herein and your underlying agreement for the Subscription Services, including compliance with the policies and terms of use set forth below (the “License Restrictions”), Contentful will make the Contentful AI Functionality available to you, and hereby grants you a non-exclusive, revocable, non-transferable right to access and use the Contentful AI Functionality in connection with the Subscription Services. You may sublicense the foregoing rights only to the extent permitted in your underlying agreement for the Subscription Services.
3.2 License Restrictions. You agree that you will comply with and not violate or allow any other party to violate, the following policies, each as may be updated from time to time: (a) the applicable third-party safety, usage and related policies set forth here; and (b) other public-facing online policies governing the use of the Subscription Services.
4. Proprietary Rights
4.1 Ownership Rights. As between the parties, Contentful or its third-party licensors exclusively own all rights, title, and interests in and to the Contentful AI Functionality. Except for the express rights granted hereunder, Contentful and its third-party licensors reserve all rights, title, and interests in and to the Contentful AI Functionality.
4.2 Customer AI Content.
4.2.1 Customer Ownership. As between the third-party licensors, Contentful and you, and to the extent permitted by law, you own all your Customer AI Content. However, you understand and acknowledge that generative AI outputs are probabilistic and non-exclusive, and therefore the Contentful AI Functionality may produce the same or similar results for other Contentful customers and/or third parties using similar generative AI functionality. Accordingly, Contentful cannot guarantee the uniqueness or non-infringement of the results, and your rights in the content of such responses may not be enforceable.
4.2.2 Restrictions on Use of Customer AI Content for Training. If your use of the Subscription Services is governed by a Master Subscription Services Agreement or other written subscription agreement with Contentful, Contentful will not use your Customer AI Content to develop or improve the Subscription Services, including to train or otherwise improve any underlying foundation models, except (i) where this is done solely to provide the Contentful AI Functionality to you and for your sole benefit, or (ii) with your authorized representative’s written consent.
4.2.3 Free/Self-Service Use of Customer AI Content for Training. If your use of the Subscription Services is governed by Contentful’s online Terms of Service (in which case you are on a free or self-serve tier), Contentful may use your Customer AI Content to develop and improve the Subscription Services, including through training and fine-tuning of our AI models.
4.2.4 Third-Party Provider Restrictions. Except with respect to Section 4.2.3, where the Contentful AI Functionality includes Contentful-Integrated AI Functionality, our third-party provider: (i) will only use your Customer AI Content solely to provide, secure, monitor and maintain the Contentful AI Functionality, comply with applicable law or a binding order of a governmental body, and enforce its policies relating to safety and compliance in accordance with its usage policies and published documentation; and (ii) will have contractual restrictions in place with Contentful prohibiting use of Customer AI Content to train or otherwise improve any underlying foundation models.
4.3 Notices and Transparency. Applicable law may permit or require Contentful to display certain notices and/or transparency information alongside any implementations of the Contentful AI Functionality. You will not remove, amend, obscure, or otherwise interfere with any such notices or transparency information. In the event that applicable law requires the display of notices and/or transparency information that reasonably require your input or assistance, you agree to take all reasonable steps to provide such input or assistance.
5. Compliance
5.1 Regulatory Classification. The Contentful AI Functionality is not designed, intended, or marketed for use as, or as part of, any “high-risk AI system” under Regulation (EU) 2024/1689 (the “EU AI Act”), or any other technology subject to substantially similar obligations under applicable laws or regulations governing the development, provision, or use of AI systems (collectively, a “High-Risk AI System”). As of the effective date of these Terms, the Contentful AI Functionality has not been classified as a High-Risk AI System by any competent authority under the EU AI Act or any comparable law. If Contentful determines, or is notified by a competent authority, that the Contentful AI Functionality or any material component of it has been classified as a High-Risk AI System, Contentful will use commercially reasonable efforts to notify you of that determination, and modify the Contentful AI Functionality or provide information designed to support you in meeting any resulting compliance obligations.
5.2 Customer Responsibility. Any use of the Contentful AI Functionality as part of, or in connection with, a High-Risk AI System (including for but not limited to any of the purposes listed in Annex I or Annex III of the EU AI Act) would constitute an exceptional use beyond the scope reasonably contemplated or intended by Contentful in the design, development, or support of the functionality. If you choose to deploy or integrate the Contentful AI Functionality in such a system, you acknowledge that you are solely responsible for ensuring compliance with all applicable obligations of providers and deployers of such systems. These may include, among other obligations and as relevant, requirements related to risk management, data governance, transparency, human oversight, record keeping, and conformity assessment. Contentful is under no obligation to provide you with information or assistance in that context.
5.3 Cooperation. Each party shall, without undue delay following a request in writing, provide the other with reasonable cooperation for the purpose of responding to legitimate regulatory or governmental inquiries, audits, or requests for information relating to the use of the Contentful AI Functionality or any other element of these Terms, to the extent such cooperation is commercially reasonable and permitted by applicable law.
5.4 Governance and Transparency. Contentful maintains internal governance, risk management, and quality assurance processes designed to support the responsible development and operation of the Contentful AI Functionality. Upon reasonable written request, Contentful may make available existing information or documentation summarizing (a) the intended purpose, capabilities, and known limitations of the Contentful AI Functionality; (b) the nature of its integrations with third-party providers of AI services; and (c) known restrictions, safeguards, or risk mitigation measures applicable to its operation. Any such information is provided solely to assist you in meeting your own obligations under applicable law and does not constitute certification, legal advice, or a warranty of compliance. Any disclosures made by Contentful under this Section 5.4 are limited to information reasonably available to it and do not require disclosure of confidential, proprietary, or security-sensitive information.
5.5 No Expansion of Liability. Nothing in this Section increases or extends Contentful’s liability or warranty obligations set forth elsewhere in these Terms or in your underlying agreement for the Subscription Services.
6. Disclaimers
6.1 DISCLAIMER. THE OUTPUTS FROM THE CONTENTFUL AI FUNCTIONALITY ARE NOT GUARANTEED INCLUDING THE QUALITY, COMPLETENESS, OR ACCURACY AND ARE PROVIDED “AS IS” WITHOUT ANY WARRANTIES OR REPRESENTATIONS WHATSOEVER TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. THIS DISCLAIMER IS IN ADDITION TO, AND DOES NOT LIMIT, THE DISCLAIMERS AND LIMITATIONS OF WARRANTIES SET FORTH IN YOUR UNDERLYING AGREEMENT FOR THE SUBSCRIPTION SERVICES. THE DISCLAIMERS IN THIS SECTION DO NOT LIMIT ANY WARRANTIES SET FORTH IN YOUR UNDERLYING AGREEMENT FOR THE SUBSCRIPTION SERVICE AS A WHOLE OF WHICH CONTENTFUL-NATIVE AI FUNCTIONALITY AND CONTENTFUL-INTEGRATED AI FUNCTIONALITY ARE A PART.
7. Term, Termination, and Suspension
7.1 Term. The term of these Terms will commence on the date these Terms are accepted or agreed by you and continue until you disable the Contentful AI Functionality or your account is terminated as set forth below.
7.2 Termination and Suspension. You may disable your use of the Contentful AI Functionality at any time through the account management tools made available through the Subscription Services. Contentful may disable, terminate or suspend your use of the Contentful AI Functionality in the event you commit any material breach of any provision of these Terms (including the third-party safety and usage policies) and fail to cure such breach (if capable of remedy) within five (5) business days after written notice of that breach or as otherwise permitted in your underlying agreement for the Subscription Services.
7.3 Survival. Upon termination of these Terms, all rights and obligations set forth herein will immediately terminate except that any terms or conditions that by their nature should survive such termination will survive, including the License Restrictions and terms and conditions relating to proprietary rights, disclaimers, and termination.
